Official Rules for participating in the "It’s time to celebrate family" contest



Article 1. Organizing entities

Sponsor: Eyeka ASIA PACIFIC PTE. LTD. a limited company incorporated under Singapore Law, under registration number 200807516M, whose registered office is located at 24 Duxton Road 089488 Singapore, hereafter referred to as "Sponsor".



Co-sponsor: Microsoft, #22-01 One Marina Boulevard 
Singapore 018989, hereafter referred to as "Co-sponsor".



The "It’s time to celebrate family" Contest is organized by Sponsor on behalf of Co-sponsor.



Article 2. Participation in the Contest

2.1

The Contest consists of uploading submissions (hereafter designated as "Submissions") complying with the guidelines stipulated in article 3 hereafter onto the Eyeka Website (http://en.eyeka.com/) in order for some of these Submissions to be selected as final winners by the Co-sponsor.



The number of Submissions submitted by each contestant to the Contest is not limited.



2.2

Participating time in the Contest is from October 6, 2011 (Singapore) time through November 16, 2011 (Singapore) time.



2.3

To be eligible for the Contest, minor participants, according to the law of the country of participation, must imperatively be provided with written authorization from their parents / guardians which must give this written authorization to the Sponsor. The Sponsor is entitled, however, to require the contestant to provide such authorization, at any time which includes prior to supplying the winner(s) with the award. This authorization should read as follows:



"I undersigned Mr/Mrs. xxx, parent or guardian of (child's name), hereby authorize (child's name) to participate in the "It’s time to celebrate family" organized by Eyeka.



Place and date of signatory

Signatory"



The Sponsor shall be entitled to disqualify the contestant if the latter could not provide such signed authorization.



2.4

The contest is a skill based contest. Chance plays no part in determining the winners.



2.5

Participation in the Contest is subject to having first created a user account on the Eyeka Website.



Participants must go to the Eyeka Website and follow the instructions to create an account and to upload their Submissions.



The Eyeka Website is the only way of submitting content to the contest. Submissions transmitted by any other mean shall be void.



Prize funds will be paid out to winners through bank transfer. Thus, contestants must have a valid bank account to participate in the contest.



2.6

The employees of the Sponsor and of the Co-sponsor, as well as their relatives (parents, children, and spouse) cannot participate in the Contest.



2.7

(a) Before participation in the Contest, contestants must read these Official Rules carefully and accept these Official Rules in their entirety by ticking the acceptance box.



(b) Contestants undertake to abide by the provisions of these Official Rules and acknowledge that in case of breach of the Official Rules, the Sponsor shall be entitled to deem their participation and the prize granting as void.



Article 3. Submission guidelines

3.1

The Co-sponsor is looking for videos or animation, showing how there has never been a better time to be a family!



3.2

Accepted entries are videos, animated movies, movie editing (hereafter referred to as the Videos).



3.3

Technical guidelines

- Submissions must be in:: *.mov;*.avi;*.mpg;*.mpeg; *.flv;*.wmv;*.3gp;*.mp4;*.vob;*.avs;*.mts;*.m2ts

- Encoding: MPEG 4, H/264, XVID, Quicktime.

- Size: 640x480 at least

- Video: 400 kb/s minimum

- Audio encoding: MP3



3.4

Contestants undertake not to upload on Eyeka's Website illicit content, of any kind or any nature:



- which constitutes justification of crimes against humanity or war crimes, Nazism, crimes or offences, a denial of the existence of crimes against humanity or known acts of genocide; a violation of human dignity;

- which is violent or pornographic, pedophile or likely to violate a minor's right;

- which is a violation of public order or decency;

- which is defamatory, libelous, is an insult, against anyone, individual or legal entity;

- which is an infringement of an intellectual property right, an unfair competition;

- which is racist, xenophobic, a denial or likely to violate anyone's reputation, which is a provocation of discrimination, hatred or violence vis-à-vis an individual or group of individuals on account of their origin, sex, family situation, physical appearance, family name, health, disability, genetic characteristics, morals, actual or assumed sexual tendencies, age, political opinions, union activities, actual or assumed adherence to an ethnic group, nation, race or religion;

- which is an invasion of privacy, of private letters, emails, by reason of the unauthorised capture, recording or transmission of words spoken on a private or confidential basis, which violates privacy and right of publicity;

- which contains any virus, worm, Trojan horse or any computer file or program that is liable to interrupt, destroy or restrict the functions of any computer or IT network that has any (distant or close) relation with Eyeka’s activities ;

- which threatens a person or people ;

- which encourages to break the law ;

- which allows a third party to acquire, directly or indirectly, of pirated software, software that allows acts of piracy and intrusion into computer systems and telecommunications, viruses and other logic bombs and generally any software or otherwise attempt to infringe the rights of others and to the safety of persons and property ;

- which breaks the law.



Contestants undertake to abide by all the terms and provisions related to the Contest available on Eyeka's Website and more precisely on the page of the Contest.



3.5

Apart from uploading on the Eyeka Website, each contestant must keep his/her Submissions as confidential. Thus contestants hereto shall undertake not to divulge or communicate, to whomsoever, either directly or indirectly, any or all of the Submissions. Contestants may only disclose the Submissions to the people who are directly involved in the making of the Submissions and who have a need to view the Submission in order to carry out the participation in the Contest by the contestant.



Contestants acknowledge that any such communication shall be harmful and shall make them liable. This confidential clause shall apply to all Submissions and shall survive for a period of five (5) years from the end of the Contest.



3.6

Sponsor reserves the right to delete and/or disqualify any Submission for any reason, in Sponsor’s sole discretion, including but not limited to submissions found to infringe upon existing rights of others, to be incomplete, damaged, obscene, vulgar, offensive or otherwise unsuitable for display.



3.7

Contestants must retain a quality copy of the submitted Works, such as H.D. or not compressed.



3.8

The Sponsor will be entitled to ask the winning contestants to make minor changes, cuts, or dubbing changes to the Works. The Sponsor has the right to suspend the appointment of the winners and the shipping of the winnings until such changes are made. In a winner refuses to make such change, another winner will be appointed.



Article 4. Selection of the winners

4.1

3 winning entries will be selected by a panel of employees of the Co-Sponsor with the skills to appoint the winners among the contestants. The Co-Sponsor reserves the right to select or disqualify any entries as it deems appropriate, at its sole discretion. The Co-Sponsor’s decisions are final on all matters relating to the Contest.



4.2

The winning selection will be on the basis of the relevance and quality of the insights and inputs embodied in the Submissions and how well the Submissions fit the contest theme.



4.3

Winners will be notified by Sponsor on behalf of the Co-Sponsor no later than December 28, 2011 by email, to the email address provided during registration on the Eyeka Website. The winners' list will be posted on the Sponsor's blog.



Should a winner not reply to the aforementioned email within fifteen days of first attempted notification, the winner will be declared to have forfeited the prize and the Co-Sponsor shall be entitled to appoint another winner, to grant this winner with the prize of the Co-Sponsor or to declare the prize vacant.



4.4

Winners will be selected and prizes awarded ONLY IF at least 20 submissions meeting the artistic expectations and respecting the details described in these Official Rules and on the Eyeka Website have been submitted. The amount of at least 20 submissions is justified by the need for the judges to have enough works to select winner(s) on a fair basis.



Article 5. Prizes



5.1

1st prize: USD 5,000.

2nd prize: USD 3,000

3rd prize: USD 2,000



One winner may win more than one or all prizes.



5.2

Aforementioned prizes will be transmitted by the Sponsor to the winners' bank account no later than February 28, 2011.



5.3

No substitution will be made except as provided herein at the Sponsor’s sole discretion.



5.4

Prizes will not be awarded unless winner signs all documentation which may be required by Sponsor and Co-sponsor, including transfer of rights documents.



Article 6. Use of all Submissions

All contestants hereby grant to the Co-sponsor a non-exclusive, worldwide, royalty free, license to use, reproduce, publicly perform, publicly display, any and all of the submitted Works on Internet networks. This licence is granted on a free of charge basis.



Uploading a Submission constitutes contestants' consent to give the Co-sponsor a worldwide, non-exclusive, royalty-free, for no valuable consideration and irrevocable license to use, reproduce, communicate, modify, publish and display such submissions, in whole or in part, for internal use, market research activities, presentation of products or services offered or contemplated by Co-sponsor which include, but are not limited to, the analysis of ideas and concepts embodied in the Submission, the generation of insights, establishing and/or using consumer panels to assess reactions to ideas and concepts embodied in the Submission, presentation of case studies, sales documentation.



This authorization is granted for 5 years from the end of the Contest on worldwide basis.



Article 7. Use of the winning Submissions

Contestants whose Submissions are selected as winning entries expressly authorize Co-sponsor, its affiliates, and its clients to use the concepts and ideas embodied in or inspired by the Submissions selected as winning entries.



They undertake not to prevent any use of these ideas and concepts by the Co-sponsor and clients for research and development, for the making, commercialization, and distribution of any products and services, and in general for any commercial use.



Winners accept that Co-sponsor will not be obliged to use the Submissions. Co-sponsor shall not incur any liability whatsoever to the extent Co-sponsor chooses to refrain from any exploitation of its right.



If requested, contestants will sign any documentation that may be required to assign the entirety of the rights upon their winning Submissions to the Co-sponsor. This assignment shall be on an exclusive basis and shall include the right for the Co-sponsor to use, re-use, modify, reproduce, publish, create derivative works, display or otherwise communicate the winning Submission, to incorporate it in other works, in any form, media or technology now known or later developed, in whole or in part, on all media and by all methods, for all purposes including for promotional and advertisement purposes for promotion and advertisement purposes of the Co-sponsor', its affiliates' and its clients' activities, brands, products, for marketing purposes, internal and external PR operations, corporate communication, on a worldwide basis.



The assignment shall include the right to grant a sub-licence to any third party, for free or for valuable consideration, upon any rights granted by the winners within the scope of this licence agreement.



Failure to return documents timely, or if prize notification or prize is returned as non-deliverable, or if winner is found not to be eligible or not in compliance with these Official Rules, disqualification may result and an alternate winner selected.



This assignment shall be granted for a five (5) year period.



Article 8. Intellectual property

Participation in the Contest does not constitute a right to use or acquire ownership or rights upon Sponsor's or Co-sponsor's intellectual property rights such as works, trademarks, logos, inventions.



Article 9. Authorization

Winning contestants authorize the Sponsor and Co-sponsor to use and reproduce their name, surname and prize information in connection with the contest, for promotional, advertising or any other purposes, worldwide, without limitation without further payment, notification, permission or other consideration and for a period of five (5) years after the end of the Contest.



Article 10. Privacy policy

Participation in the Contest implies authorization to store personal data for purposes of administration of the Contest. The recipient of personal data is Sponsor. All personal information provided to or gathered by the Sponsor is stored and controlled by Sponsor. Contestants have the right to access, withdraw, and correct their personal data. Contestants may request such action by posting a mail to Eyeka ASIA PACIFIC PTE. LTD, at 24 Duxton Road 089488. With the contestant's proper consent, personal information will be shared by Sponsor with the Co-sponsor.



Article 11. Warranties

(a) All contestants warrant that the Co-sponsor shall peacefully enjoy and exercise all of the rights attached to the Submissions.



(b) All contestants indemnify and hold the Co-sponsor, its affiliates and its clients against any trouble, action, claim, opposition, and claim any eviction from a third party arguing that the Submission violates their rights, and against any damage or liability incurred in the exercise of rights attached to the Submission. Contestants must have all ownership rights in and to the Submission, and the power and authority to participate in the Contest. Submissions must not infringe the rights of any third party and must be suitable for display/publication.



(c) All contestants warrant that they have not used in the Submissions any elements (music, photographs, brands, etc.) that are likely to violate anyone's rights.



Accordingly, the contestants shall hold the Co-sponsor, its affiliates and its clients harmless against any disturbance, legal action, complaint, opposition, claim and eviction instigated by a third party claiming that one of the Submission breaches his rights, as well as against any loss or liability incurred in connection with the exercise of the rights attaching to the Submissions.



In this respect, the contestants warrant that they have obtained written permissions of all the people represented on the Submissions, or of their contractual or legal representatives, in order to use their image, allowing the contestants to make commitments under these Official Rules. The contestants irrevocably undertake to provide the Co-sponsor at any time, at its request, with written proof or a copy of all written documents confirming such authorizations.



(d) All contestants warrant that they are the sole proprietors of the intellectual property rights and licenses granted to Co-sponsor, its affiliates, and its clients. In the event the contestants are not the sole proprietor of the aforementioned rights, they irrevocably warrant to Co-sponsor, its affiliates, and its clients that, before making the Submissions available, they obtained all of the authorizations and rights required for the license in writing from all proprietors of intellectual property rights to the Submissions or from the copyright collecting societies representing such proprietors allowing the contestants to make commitments under these Official Rules. In this respect, the contestants irrevocably undertake to provide the Co-sponsor, its affiliates, and its clients at any time, upon request, with written proof or a copy of all written documents confirming such authorizations.



Contestants will also ensure that Creation is original, and all its components, and its content does not violate the laws in force, particularly those relating to the infringement, defamation, morality or privacy.



Article 12. Assignment

Sponsor may assign all or part of its rights and/or obligations arising under this agreement to any legal entity it shall so designate without having to first obtain the consent of the contestant.



Article 13. Sponsor's discretion

Sponsor reserves the right, in its sole discretion, to disqualify any individual they find, in their sole discretion, to be tampering with the entry process or the operation of the Contest; to be in violation of the Terms of Service of the web site; to be acting in violation of the Official Rules; or to be acting in a non-sportsman like or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor may prosecute any fraudulent activities to the full extent of the law.



Article 14. Disclaimers and Limitations on Liability

Sponsor, its affiliated parties, its officers, directors, employees, representatives, assignees and agents (hereafter referred to as "Released Parties") are not responsible for injury, loss or damage to persons or to property which may result, directly or indirectly, from participation in the Contest, access to the Contest, download of materials from the Eyeka Website, use of the Eyeka Website, receipt or use or misuse of a prize (including any travel/activity related thereto).



Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Contestants warrant that the files and data provided when participating in the Contest shall not under any circumstances be originals, but a copy of the originals which shall be retained by contestants. Contestants acknowledge and agree that Sponsor shall not incur any liability for the loss of the files or data submitted to it by contestants.



Sponsor is not responsible for any unauthorized third party use of any Submission.



If, for any reason, the Contest is not capable of running as planned by reason of tampering, unauthorized intervention, fraud, technical failures, or any other causes which Sponsor deem could corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right to cancel, terminate, modify or suspend the Contest and select the winners from entries received prior to the action taken or in such other manner as Sponsor may deem fair and appropriate.
